Terms of Service — ElroyGuided

Welcome to ElroyGuided. These Terms of Service (“Terms”) govern your access to and use of our online store, website, and related services, including purchase and download of digital PDF guides (the “Services”). The words “we,” “us,” and “our” refer to ElroyGuided. By accessing or using the Services you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and Account

  • You confirm you are at least the age of majority in your jurisdiction and may permit minor dependents to use the Services on devices you control.
  • To use the Services or make purchases you may need to provide contact, billing and payment information. You represent that all information you provide is accurate, current, and complete and that you are authorized to use any payment method provided.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Accounts are non-transferable.

2. Our Products

  • We strive to represent our digital products accurately, but actual appearance may vary by device and settings. We do not guarantee that digital products will meet your expectations.
  • Descriptions, availability, and pricing of products may change without notice. We may discontinue offerings or limit quantities at our discretion.

3. Orders

  • Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order. Orders are not accepted until payment is processed and we send confirmation.
  • Review orders carefully before submission. After acceptance, cancellations may be limited. If we do not accept or must change or cancel an order, we will attempt to notify you using the contact information you provided.
  • Purchases are for personal, non-commercial use only unless otherwise agreed in writing.

4. Prices and Billing

  • Prices, discounts, and promotions may change without notice. The price charged will be the price shown when you place your order and in your order confirmation.
  • Posted prices do not include applicable taxes. You agree to provide complete and accurate payment information and to update that information as needed.
  • By submitting payment information you represent that you are authorized to use the payment method and will pay all charges incurred.

5. Shipping and Delivery

  • For digital products, delivery is typically by download link or email; delivery times are estimates and not guaranteed. We are not responsible for delays caused by external factors beyond our control.
  • For physical goods (if any), title and risk transfer according to the shipping terms shown at sale. We are not liable for shipping or carrier delays.

6. Intellectual Property

  • All content on the Services (including text, images, designs, logos, and digital products) is owned by ElroyGuided or its licensors and is protected by copyright, trademark and other laws.
  • You are granted a limited, non-exclusive, non-transferable right to use purchased digital PDF guides for your personal, non-commercial use only. You may not copy, distribute, sell, reproduce, create derivative works from, publicly display, or otherwise exploit our digital products without prior written permission.
  • Trademarks, logos, and trade dress displayed on the Services are the property of their respective owners and may not be used without permission.

7. Optional Tools

  • We may provide access to third-party tools or integrations (“Optional Tools”). We do not control, endorse, or assume liability for third-party content, tools, or policies. Use of Optional Tools is at your own risk; review their terms and privacy policies before use.
  • Any new features or tools offered through the Services are subject to these Terms.

8. Third-Party Links

  • The Services may contain links to third-party sites or embedded third-party content. We are not responsible for the content, accuracy, or policies of third-party sites. Your access to third-party websites is at your own risk. Direct complaints or questions about third-party products or services to those third parties.

9. Relationship with Shopify

  • Our store is powered by Shopify. Shopify provides the platform but is not a party to transactions between you and ElroyGuided. You release Shopify from liabilities arising from your purchases from our store.

10. Privacy Policy

  • Personal information you provide is handled in accordance with our Privacy Policy. Because the Services are hosted on Shopify, some information may be processed by Shopify and other service providers. See our Privacy Policy for details.

11. Feedback

  • If you submit ideas, suggestions, or other Feedback, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute and display the Feedback for any purpose. You represent you own the Feedback or have the right to grant these rights and that the Feedback does not violate any third-party rights.
  • We have no obligation to maintain Feedback in confidence, to pay compensation for Feedback, or to respond.

12. Errors, Inaccuracies, and Omissions

  • Information on the Services may occasionally contain typographical errors, inaccuracies or omissions. We reserve the right to correct errors and update information, including after you place an order, and to cancel or refuse orders in such cases.

13. Prohibited Uses

  • You may use the Services only for lawful purposes. Prohibited activities include, without limitation: unlawful or malicious activity; infringing others’ rights; harassment or abusive behavior; transmitting false or misleading information; sending spam; uploading malware; scraping or automated data extraction; attempting to bypass security measures; using purchased materials for commercial resale; impersonation; or any conduct that harms other users or the Services.
  • We may suspend or terminate accounts that violate these Terms.

14. Agents

14.1 These Agent Terms apply if you use, enable, permit, or cause any Agent to access, use, or interact with the Services. “Agent” means any software or service that takes autonomous or semi‑autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on or using a person’s device without direct human supervision.
14.2 No Agent may access, use, or interact with the Services unless it always identifies itself and operates in strict accordance with section 14.4. An Agent may not access the Services if we have requested that the Agent refrain from accessing, using, or interacting with the Services.
14.3 We may, at our discretion and by technical or other means, limit or block whether and how any Agent accesses, uses, or interacts with the Services.
14.4 Agent requirements:

  • (a) Identification: Every HTTP/HTTPS request originating from an Agent must identify itself and disclose the Agent name in the request’s User-Agent string using the format: "Agent/[agent name]".
  • (b) No concealment: Agents must not hide, obfuscate, or disguise that requests or interactions are from an Agent (including by mimicking human behavior or interaction patterns).
  • (c) No circumvention: Agents must not complete, bypass, or otherwise circumvent CAPTCHAs or other measures designed to distinguish human users from automated agents.
  • (d) Truthful responses: Agents must respond truthfully to any prompt or query intended to determine whether the interacting party is a human or an automated agent.
  • (e) No evasion: Agents must not circumvent or otherwise avoid any measures intended to block, limit, modify, or control Agent access to the Services.

15. Termination

  • We may terminate these Terms or your access to the Services (or any part) at any time, in our sole discretion, without notice. You remain liable for amounts due through the effective date of termination.
  • The following provisions will survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive.

16. Disclaimer of Warranties

  • The Services and all content are provided for general information purposes only. Except as expressly stated by ElroyGuided, the Services and all products offered through the Services are provided “AS IS” and “AS AVAILABLE,” without any warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, or non‑infringement.
  • We do not guarantee that use of the Services will be uninterrupted, timely, secure, or error‑free. Some jurisdictions do not allow exclusion of implied warranties; to that extent, certain disclaimers may not apply to you.

17. Limitation of Liability

  • To the fullest extent permitted by law, neither ElroyGuided nor our partners, directors, officers, employees, affiliates, agents, contractors, service providers, licensors, nor Shopify or its affiliates, will be liable for any direct, indirect, incidental, punitive, special, consequential, or other damages (including lost profits, lost revenue, lost data, or replacement costs) arising out of or related to your use of the Services or any products purchased through the Services, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

18. Indemnification

  • You agree to indemnify, defend, and hold harmless ElroyGuided, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from and against any losses, liabilities, claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to (1) your breach of these Terms or the documents they incorporate by reference; (2) your violation of any law or the rights of any third party; or (3) your access to or use of the Services.
  • We will notify you of any indemnified claim; failure to promptly notify does not relieve your obligations unless materially prejudiced. We may control the defense and settlement of such claims at your expense, and you will cooperate as reasonably requested.

19. Severability

  • If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remainder of these Terms will remain in full force and effect.

20. Waiver; Entire Agreement

  • Our failure to enforce any right or provision of these Terms does not constitute a waiver.
  • These Terms, together with any policies or rules posted by us, constitute the entire agreement between you and ElroyGuided regarding the Services and supersede all prior agreements. Ambiguities will not be construed against the drafting party.

21. Assignment

  • You may not assign, delegate or transfer these Terms or any rights or obligations hereunder without our prior written consent; any attempted assignment without consent is void. We may assign, transfer, or delegate these Terms and our rights or obligations without consent or notice.

22. Governing Law

  • These Terms and any agreements whereby we provide Services will be governed by and construed in accordance with the laws of the jurisdiction where ElroyGuided is headquartered. You and ElroyGuided consent to the exclusive venue and personal jurisdiction of the federal and state or territorial courts located in that jurisdiction, except as otherwise required by applicable law.

23. Headings

  • Headings are for convenience only and do not affect interpretation.

24. Changes to Terms of Service

  • We may update these Terms at any time by posting revised Terms on the site. It is your responsibility to review the current Terms. We will notify you of material changes as required by law; revised Terms take effect on the date specified in the notice. Continued use of the Services after changes constitutes acceptance.
